GHANA INSTITUTE OF LANGUAGES ACT - 1969 (NLCD 324)

    • (1) There shall be established for the purposes of this Decree an Institute to be known as the Ghana Institute of Languages.

      (2) The Ghana Institute of Languages, hereafter referred to in this Decree as the "Institute", shall be a body corporate with perpetual succession and a common seal, and may sue and be sued in the name assigned to it under sub-paragraph (1) of this paragraph.

      (3) The Institute shall have the power, for the discharge of its functions, to acquire and hold any movable or immovable property, to dispose of such property by lease or otherwise and to enter into any contact or other transactions.

    • The functions of the Institute shall be-

      (a) to provide courses of instruction in non-Ghanaian African languages and other foreign languages for persons in Ghana and from other African countries who are interested in learning the language in which instruction is provided;

      (b) to furnish advice to the Government and public authorities in Ghana at their request in respect of matters relating to the teaching of the said language; and

      (c) to do all such things as are incidental to or connected with the discharge of either or both the said functions.

    • (1) The governing body of the Institute shall be the Board of Management of the Institute, hereafter referred to in this Decree as the "Board".

      (2) The Board shall consist of-

      (a) two members appointed by the Commissioner, one of whom shall be appointed by him as Chairman;

      (b) one person nominated to represent the Ministry responsible for Education by the Principal Secretary to that Ministry and appointed as a member by the Commissioner;

      (c) one person nominated to represent the Ministry responsible for External Affairs by the Principal Secretary to the Ministry and appointed as a member by the Commissioner;

      (d) one person nominated by the governing body of the Institute of Public Administration to represent that Institute and appointed as a member by the Commissioner;

      (e) two persons nominated by the Vice-Chancellor of the University of Ghana to represent that University and appointed as members by the Commissioner;

      (f) two persons nominated by the governing body of the Ghana Chamber of Commerce to represent that Chamber and appointed as members by the Commissioner; and

      (g) one person nominated by the governing body of the Ghana National Association of Teachers and appointed as a member by the Commissioner.

    • (1) Subject to the general directions of the Commissioner and other provisions of this Decree, the Board shall have control of the management of the Institute and shall be assisted by the Director and other officers and employees of the Institute.

      (2) Subject to the other provisions of this Decree, the Director of the Institute shall be the chief academic and administrative officer of the Institute; and shall be charged with the direction of the day-to-day business of the Institute, with its administration and organisation, and with the control of its officers and employees.

    • (1) The members of the Board shall be appointed on each occasion for a period not exceeding three years.

      (2) Every such member may at any time resign his appointment by notice under his hand addressed to the Chairman of the Board.

      (3) The Commissioner may, if he thinks that it is in the interest of the Institute, terminate the office of such member.

      (4) Every such member shall, on ceasing to be a member, be eligible for re-appointment.

    • (1) There shall be a Director and an Assistant Director of the Institute who shall be appointed by the Commissioner, on the recommendation of the Board for such period and on such terms and conditions as the Commissioner may determine.

      (2) In making a recommendation for the appointment of the Assistant Director, the Board shall have regard to the views of the Director, except where there is no substantive holder of the post.

    • (1) The Board shall meet at such times and places as the Chairman may direct,but not less than twice a year. At every meeting of the Board, the Chairman shall preside or in his absence any member of the Board elected by those members of the Board present and voting.

      (2) The Director shall attend every meeting of the Board as an ex officio member but he shall have no vote. In his absence the Assistant Director shall attend who shall also have no vote. Neither the Director nor the Assistant Director shall attend when matters concerning their own appointments are under discussion.

      (3) The quorum at any meeting of the Board shall be five.

      (4) The validity of any proceedings of the Board shall not be effected by any vacancy among its members or any defect in the appointment of any of them.

    • (1) There shall be an Academic Board with the following membership:-

      (a) The Director as Chairman;

      (b) the Assistant Director;

      (c) the most senior member of the teaching staff in charge of each Language in which instruction is given at the Institute; and

      (d) not more than four nor less than two members of the teaching staff elected by the teaching staff, who shall serve for two years, but shall be eligible for re-election.

      (2) There shall be a secretary to the Academic Board who shall be appointed by the Director from among the staff of the Institute. He shall have no vote.

      (3) The quorum shall be six.

      (4) The Academic Board shall prescribe its own procedure.

      (5) The functions of the Academic Board shall be-

      (a) to advise the Board on the educational policy of the Institute;

      (b) to make regulations-

      (i) for the admission of students,

      (ii) for the organisation of courses, and

      (iii) for the standards and conduct of examinations, and the award of certificates and diplomas;

      (c) to appoint internal and external examiners;

      (d) to organise research; and

      (e) to consider and report on any matter referred to it by the Board.

    • (1) The Board may, on the recommendation of the Director, appoint such officers and employees as may appear expedient for the proper and efficient conduct of the business and functions of the Institute on such terms and conditions as the Board may determine.

      (2) Public officers may be transferred or seconded to the Institute or otherwise give assistance thereto.

      (3) The Board may grant pensions, gratuities, or retiring allowances to officers and servants of the Institute and require them to contribute to any pension or provident fund, or superannuation scheme.

      (4) If an officer receiving a pensionable emolument in the Public Service of Ghana is transferred or seconded to the Institute the period during which he serves with the Institute shall, for the purposes of computation of the time and amount of pension under the Pensions Ordinance (Cap. 30), be deemed to be service in a pensionable office.

      (5) Subject to any directions by the Commissioner, the rates of remuneration and other conditions of service for members of the academic staff and other persons in the service of the Institute shall be as the Board may from time to time determine.

      (6) Bye-laws may be made by the Board under this paragraph to provide for contribution to any superannuation fund or other similar scheme for the benefit of members of the academic staff and other persons in the service of the Institute.

    • (1) The Institute shall receive annually grants from the Government and the vote for such grants shall be charged on the Consolidated Fund.

      (2) Funds of the Institute shall include-

      (a) fees and other charges,

      (b) proceeds from the sale of books and other materials, and

      (c) grants from the Government.

      (3) The Director shall cause all moneys received by the Institute to be deposited to the credit of the Institute in the Ghana Commercial Bank.

    • (1) The Institute shall keep proper books of accounts and proper records in relation thereto.

      (2) Subject to such directions as to form as the Commissioner responsible for Finance may give, the Institute shall prepare, in respect of each financial year, a statement of account which shall include-

      (a) a balance sheet, a statement of income and expense and a statement of surplus containing such information as, had the Institute been a company registered under the Companies Code, 1963 (Act 179) would be required to be laid before the company by the directors at an annual meeting; and

      (b) such other information in respect of the financial affairs of the Institute as the Commissioner responsible for Finance may require.

      (3) The Institute shall, as soon as possible but within six months after the termination of each financial year, submit to the Commissioner in such form as he may prescribe an annual report which shall include the statements of account specified in sub-paragraph (2) and the annual report of the auditor referred to in sub-paragraph (7) of paragraph 12.

      (4) The Institute shall submit to the Commissioner such report of its financial affairs as the Commissioner may at any time require.

    • (1) The institute's financial year shall be the same as the Ghana Government's financial year.

      (2) The period extending from the commencement of this Decree to the thirtieth day of June next following shall be deemed to be the Institute's first financial year.

      (3) The books and accounts of the Institute shall be audited each year by the Auditor-General or an auditor appointed by him.

      (4) The Auditor-General shall, not later than the thirty-first day of March in each year, forward to the Commissioner a copy of the audited accounts and his report thereon.

      (5) The auditor shall report annually to the Commissioner the results of his examination of the accounts and financial statement of the Institute and the report shall state whether in his opinion-

      (a) proper books of accounts have been kept by the Institute;

      (b) the financial statement of the Institute-

      (i) was prepared on a basis consistent with that of the preceding year and is in agreement with the books of account;

      (ii) in the case of the balance sheet, gives a true and fair view of the state of the Institute's affairs as at the end of the financial year;

      (iii) in the case of the statement of income and expense, gives a true and fair view of the income and expense or profit and loss account of the Institute for the financial year;

      and the auditor shall call the attention of the Commissioner responsible for Finance to any other matter falling within the scope of his examination which, in his opinion, should be brought to his attention.

      (6) The auditor shall, from time to time make to the Commissioner responsible for Finance such other reports as he may deem necessary or the Commissioner responsible for Finance may require.

      (7) The annual report of the auditor shall be included in the annual report of the Institute.

    • The Board may by legislative instrument make regulations for giving effect to or carrying out the provisions of this Decree.

    • The Ghana Institute of Languages Instrument, 1963 (EI. 114) is hereby revoked.

    • In this Decree unless the context otherwise requires-

      "Assistant Director" means a person appointed as Assistant Director of the Institute under paragraph 6 (1) of this Decree;

      "Commissioner" means the Commissioner responsible for Education; and

      "Director" means a person appointed as Director of the Institute under paragraph 6 (1) of this Decree and includes a person appointed to exercise the functions of a Director during a vacancy in the office of Director.
